I've always seen this be a bad RAM problem. You can try and swap your sticks (reseat etc.) but more then likely one of the sticks is going bad and you need a replacement.

Uninstall McAfee and redownload the latest version and reinstall it. (you'll have to have your product key I'm sure). Make sure you have all the latest updates also.
Easy fix is a reinstall of windows but you may be able to fix it by clearing out any TSR's out of MSConfig (type msconfig at start->run, then go to startup tab). If that doesn't fix it, come back and post your system make/model and OS Version (including service packs).
